Terms of Service

These Terms govern access to Edaxu websites, trials, accounts, learning portals, and related services unless a written customer agreement says otherwise.

Acceptance and authority

By accessing or using Edaxu, you agree to these Terms. If you use Edaxu for an organization, you represent that you have authority to bind that organization, and "you" includes the organization. If you do not agree, do not use the service.

You must be at least 18 to create a trial, purchase a plan, or enter into an agreement for an organization. Learners who are not old enough to agree to these Terms may use the service only when authorized by their organization and, where required, a parent or legal guardian.

Customer agreements

An order form, data processing agreement, statement of work, or other written agreement signed by Edaxu may provide additional or different terms. That written agreement controls if it conflicts with these Terms. Customer administrators may authorize other users to access the customer's portal, and those users must comply with these Terms and the customer's policies.

Accounts and administrators

You must provide accurate account information, keep credentials confidential, and promptly report suspected unauthorized access. You are responsible for activity under accounts you control. Customer administrators control portal membership, roles, permissions, custom profile fields, learning assignments, and access to customer records. Edaxu may rely on instructions from authorized administrators.

Right to use the service

Subject to these Terms and payment of applicable fees, Edaxu grants you a limited, non-exclusive, non-transferable, revocable right to access and use the service during the applicable subscription or trial for your internal training, certification, compliance, or education programs. You may allow authorized learners, instructors, and administrators to use your portal within plan and contract limits.

Acceptable use

You will not, and will not permit anyone to:

  • use Edaxu unlawfully or infringe another person's rights;
  • upload malware, harmful code, or content you lack the right to use;
  • bypass authentication, permissions, usage limits, or security controls;
  • probe, scan, disrupt, overload, or interfere with the service;
  • reverse engineer or copy the service except where law cannot prohibit it;
  • rent, resell, sublicense, or provide the service as a bureau service unless a written agreement permits it;
  • use automated means to extract data except through documented APIs and authorized integrations; or
  • use Edaxu to develop or train a competing product using non-public service features or materials.

Customer content and learner data

You retain ownership of training content, learner records, certificates, and other materials you upload or generate in Edaxu. You grant Edaxu and its service providers the rights needed to host, copy, process, transmit, secure, display, and deliver that content to operate and support the service.

You are responsible for the accuracy, legality, and quality of customer content; for obtaining required rights, notices, and consents; and for configuring access appropriately. Do not submit protected health information, payment-card data, government identification numbers, or similarly regulated sensitive data unless a written agreement with Edaxu expressly permits it.

Edaxu processes learner and portal data under the customer's instructions and applicable agreement. The customer is responsible for responding to its users' requests regarding customer-controlled records, with assistance from Edaxu where required.

AI features

If enabled, AI features may send prompts, recent conversation history, and permission-authorized LMS information to an AI provider to generate a response. AI output can be incomplete, inaccurate, or unsuitable for a particular purpose. You are responsible for reviewing output before relying on it, especially for employment, certification, compliance, safety, or other consequential decisions. Do not use AI output as the sole basis for decisions that produce legal or similarly significant effects about a person.

Trials, plans, and payment

Trials are for evaluation and may be limited, suspended, or ended at any time. Plan limits, fees, billing periods, renewal, cancellation, taxes, and payment terms are stated at purchase or in an order form. Except where the applicable plan, written agreement, or law says otherwise, fees are non-refundable and subscriptions continue for the committed term. Edaxu may change pricing for a later renewal period after reasonable notice.

Third-party services and content

Edaxu may interoperate with customer-selected integrations, uploaded SCORM packages, external links, identity providers, and other third-party services. Third-party terms and privacy notices govern those services. Edaxu is not responsible for third-party services or customer-provided executable course content, and you authorize Edaxu to exchange data with an integration when you or your administrator enables it.

Privacy, security, and confidentiality

Our Privacy Policyexplains how Edaxu handles personal information. A data processing agreement may be available for eligible customers. Each party will protect the other party's non-public confidential information using reasonable care and use it only to perform or receive the service, except when disclosure is authorized or legally required.

Edaxu maintains reasonable safeguards designed to protect the service and customer data. You remain responsible for endpoint security, account permissions, backups or exports appropriate to your needs, and your users' compliance with security requirements.

Edaxu intellectual property

Edaxu and its licensors own the service, software, documentation, designs, trademarks, and related technology, excluding customer content. No rights are granted except those expressly stated in these Terms. If you provide suggestions or feedback, Edaxu may use them without restriction or compensation, without identifying you publicly as the source.

Service operation and changes

Edaxu may update, add, or remove service features and may perform maintenance that affects availability. We will not materially reduce core paid functionality during a committed term without a reasonable business reason or providing an appropriate remedy. Beta, preview, and evaluation features may change or end and are provided without a service-level commitment unless agreed in writing.

Suspension and termination

Edaxu may suspend access when reasonably necessary to address a security risk, unlawful use, material breach, nonpayment, or harm to the service or others. When practical, we will give notice and an opportunity to cure. Either party may terminate as allowed by the applicable plan or written agreement.

When service ends, your right to use Edaxu ends. Customer administrators should export needed data before termination. Edaxu may delete customer data after a reasonable retrieval period, subject to the applicable agreement, legal obligations, backups, and records that must be retained for security, audit, or credential verification. Provisions that by their nature should survive will survive termination.

Disclaimers

To the maximum extent permitted by law, the service, trials, beta features, and documentation are provided "as is" and "as available." Edaxu disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and warranties arising from course of dealing. Edaxu does not warrant uninterrupted or error-free operation or that customer content, compliance programs, or AI output will meet every legal, accreditation, or business requirement.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, even if advised those damages were possible. Except for payment obligations, misuse of the other party's intellectual property, breach of confidentiality, indemnification obligations, or liability that law cannot limit, each party's total liability arising from the service will not exceed the fees paid or payable to Edaxu for the service during the 12 months before the event giving rise to the claim. For a free trial, Edaxu's aggregate liability will not exceed one hundred U.S. dollars.

Indemnification

You will defend and indemnify Edaxu and its affiliates, officers, and personnel against third-party claims and related costs arising from customer content, your unlawful or unauthorized use of the service, or your breach of the acceptable-use and customer-data obligations in these Terms. Edaxu will provide prompt notice and reasonable cooperation and will allow you to control the defense, provided a settlement does not admit fault by or impose obligations on Edaxu without consent.

Governing terms and disputes

The governing law and forum stated in an applicable order form or written customer agreement control. If there is no such agreement, applicable law determines governing law and jurisdiction. Before filing a formal claim, each party will make a good-faith effort to resolve the dispute through written notice and business discussion, unless immediate relief is reasonably necessary.

Changes to these Terms

Edaxu may update these Terms by posting a revised version and changing the update date. Material changes will apply prospectively, and we will provide additional notice when required. Continued use after revised Terms take effect constitutes acceptance to the extent permitted by law.
